Wells Fargo Commercial Capital (WFCC) helps customers (middle-market businesses to large corporations) succeed financially by financing growth, businesses in transition, specialized lending and investments, and facilitating access to different forms of capital. WFCC delivers secured lending solutions, investment capital, trust services, and deep domain and industry experience. WFCC includes Distribution Finance, Corporate Trust Services (CTS), Wells Fargo Capital Finance (WFCF), Wells Fargo Equipment Finance (WFEF), Specialty Finance, Strategic Capital, and Renewable Energy and Environmental Finance.

This position is within Wells Fargo Rail, a division within Commercial Capital.

Wells Fargo Rail is the largest and most diverse rail equipment operating lessor in North America, with more than 175,000 railcars and 1,800 locomotives. Based in Rosemont, IL, Wells Fargo Rail has the largest fleet of any rail operating lessor in North America, serving the North American market for rail equipment with customers in the U.S., Canada, and Mexico.

  • Draft and revise customer leasing documents, including, but not limited to Master Lease Agreements, Riders, Termination Agreements, and Amendments, accurately and in compliance with all Wells Fargo Policies and Procedures.

  • Review customer requested changes to contract documents, work with appropriate stakeholders for feedback/approvals and revise the documents as necessary using Microsoft Word track changes. Requests for stakeholder feedback should include information regarding past precedence for specific provisions and customer specific preferences and previous approvals.

  • Accurately enter pertinent information into Rail Administration and Integrated Leasing System (RAILS) /Contract Profile to ensure accurate and timely billing. Update lease and/or customer related data in the RAILS/Contract Profile system, as required. Review files for completeness and sign-off in RAILS/Sales Transaction accordingly.

  • Update and maintain E-File as assigned. Ensure executed contracts, supporting documentation, correspondence and approvals are saved to WF Rail's document management system.

  • Advise Sales Team on deal entry in Salesforce and best way to structure contract documentation.

  • Depending on performance and skill level, may perform review process to ensure contract documents, data system of record and document management system are complete, accurate, distributed as applicable and in compliance with Wells Fargo Rail (WFR) policies and procedures.

  • Draft and revise purchase and sale agreements related to the sale of railcars that may be on or off lease. When railcar purchase and sale agreement is drafted by outside counsel, review the agreement for accuracy. In all cases, manage the internal data entry in Rails, including administrative assignment and workflow updates, and ensure all executed documents, supporting documentation, approvals and correspondence are saved to WF Rail's document management system.

  • Ensure all documents are complete, accurate, distributed appropriately and in compliance with WF Rail policies and procedures.

  • Research documents in connection with inquiries from internal and external customers.

  • Other duties as assigned.

Required Qualifications

  • 5+ years of rail experience, leasing experience, or a combination of both demonstrated through work or military experience

  • Strong written and verbal communication skills

  • Strong attention to detail and accuracy skills

  • Intermediate Microsoft Office (Word, Excel, and Outlook) skills

  • Ability to read and understand lease/contract agreements

  • A BS/BA degree or higher

  • Ability to work effectively in a team environment

Other Desired Qualifications

  • Paralegal Certificate from an ABA accredited paralegal program or Juris Doctorate

  • 2+ years of experience reviewing and redlining contract documentation

  • Rail/leasing industry experience

  • Strong analytical skills with high attention to detail and accuracy including superior proof reading skills

  • Ability to clearly, concisely and effectively interact with internal and external customers via telephone, emails, letters, etc.

  • Ability to gather facts, summarize underlying situation, problem solve and propose a resolution

  • Capable of thriving in a fast paced, multi-tasking environment while maintaining a high level of customer service productivity, and work accuracy, all within established deadlines

  • Flexible and demonstrate an ability to work well under pressure and within fixed deadlines

  • Highly organized, have a great attention to detail and be able to recognize when terms and conditions are non-standard
