Shareholder Services Specialist

Must be able to sit onsite in one of the office locations: Indianapolis, IN (preferred location) Chicago, IL or Virginia Beach, VA (open to part time remote work).

Responsible for administering the shareholder relations function and coordinate activities related to SEC filings, SEC reporting, the annual meeting, and preparation of the annual report and proxy.

Primary duties may include, but are not limited to:

  • Supervise and monitor performance of our transfer agent.

  • Oversee daily stock processes, including the DWAC of shares.

  • Responds to escalated individual shareholder inquires relative to stock account status, address change and stock transfer.

  • Take the lead in preparing and filing of SEC forms 3, 4, and 5 for officers and directors.

  • Assist with the insider trading policy and procedures including communication with associates.

  • Monitor shareholder calls and oversee call center recognition program.

  • Assist with the quarterly dividend process and other shareholder mailings.

  • Coordinate activities related to the annual shareholder meeting.

  • Prepare proxy tabulation reports and work closely with proxy solicitor to help achieve quorum and monitor voting results.

Other duties may include the following:

  • Maintain the Corporate Governance section of website and provide support for subsidiary SharePoint website.

  • Prepare annual and interim written affirmations and annual CEO certification in compliance with NYSE listing standards.

  • Assist with Director compensation (process cash and stock retainer payments, deferred compensation and 1099 tax reporting).

Qualifications

  • Requires a BA/BS and at least 1 year experience with shareholder services, investor relations, business or finance; or any combination of education and experience, which would provide an equivalent background.

  • Strong analytical and problem solving skills, attention to detail, organization and communication skills.

  • Ability to handle and prioritize multiple tasks.

  • Ability to learn new software programs.

  • Proficient in Microsoft Word, Outlook, Excel, and Adobe professional, form 4 filing software (any brand).

  • Experience filing of SEC Forms 3, 4 and 5 for officers and directors preferred.

  • Must be able to sit onsite in Indianapolis, Chicago, or Virginia Beach.
