Real Estate Legal Assistant PRIMARY DUTIES Assist Lawyers in preparing for all aspects of real estate closings and financings, corporate formation and management, property management and oversight of litigation matters; must be able to review, comprehend and prepare legal documents and correspondence. ESSENTIAL JOB FUNCTIONS ? Real Estate Loans Financings: prepare and review loan documentation, and applications. ? Corporate Organizational Work: create new corporate entities, prepare and file annual reports and amendments, apply for FEINs, prepare corporate resolutions and certificates, create corporate organization charts, and assist in the preparation and review of operating agreements and amendments; work with registered agents to oversee and manage corporate entities; track services of process of any complaints or notices served upon the companies. ? Real Estate Tax Appeals: review and compile tax appeal applications and related documents and information; oversee the work of tax appeal attorneys in managing the application process and appellate proceedings; prepare and manage Class 9 application process and annual compliance. ? Commercial Real Estate Closings: prepare and review real estate closing documents, attorney modification letters and communications with opposing counsel; work with surveyors, lenders, appraisers, title companies, municipalities and outside paralegal services to prepare for closings; review title commitments and surveys. ? Management of General Litigation Matters: communicate with outside counsel and insurance claims adjusters in the oversight of pending litigation relating to tenant disputes, tenant personal injury claims, lawsuits, and administrative proceedings. ? Management of Code Violation Cases: work with counsel to monitor and prepare for administrative and municipal code violation cases and hearings; docket and track hearing dates; compile evidence for submission for code violation hearings; prepare and file motions.
